4. Applicability of Sales Terms

These Terms govern all sales made by the Company. Any conflicting purchase conditions proposed by the Buyer are expressly rejected unless agreed to in writing by Vallayil Exim Private Limited. Unless otherwise stated, offers remain valid for 30 days from issuance.

5. Orders and Cancellations

Placing an order constitutes acceptance of these Terms. Orders become binding only upon written confirmation from the Company. Cancellations or modifications are not permitted without prior written approval. Any approved change may affect price or delivery terms.

6. Delivery and Risk

Delivery dates are estimates and not guarantees. Delays do not entitle the Buyer to cancel or claim damages.  

7. Inspection

The Buyer must inspect goods upon receipt. Any visible discrepancies or damages must be reported within 5 days of delivery; hidden defects within 5 days of discovery (and within 1 month of delivery). No returns are accepted.

9. Retention of Title

Ownership of Products remains with Vallayil Exim Private Limited until full payment is received. In case of default, the Company reserves the right to repossess goods at the Buyer’s cost and pursue damages.

10. Warranty and Use of Products

The Company warrants that its Products conform to provided specifications. No other warranties, express or implied, are given. The warranty becomes void if:

• The Products are mishandled, misused, resold, or altered.
• Claims are not made as per the above timelines.
  Products are intended solely for integration into the Buyer’s end products and not for resale or repackaging without written consent. Compliance with applicable regulations in the country of sale is the Buyer’s  responsibility.

11. Intellectual Property

All Website content—including text, graphics, logos, trademarks, and software—is the intellectual property of Vallayil Exim Private Limited or its licensors and protected under copyright laws.

12. Limitation of Liability

Vallayil Exim Private Limited shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits or revenue). The Company’s total liability shall not exceed the invoice value of the orderthat gave rise to the claim.
